If negotiation and mediation fail, the arbitration shall finally settle the dispute per the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Pune, Maharashtra, India by a sole arbitrator appointed by mutual agreement of the parties or, failing such agreement, by the President or Secretary of the Indian Council of Arbitration. The arbitration proceedings shall be conducted in English.
